Conflict of interest is originated when our personal matters or conducts compromise the capability of acting in the best benefit of DESC.

We do not use our position to gain benefits for ourselves or for a third party. We stay away from any situation in which our loyalty could be questioned or apparently questioned. The Audit and Corporate Practices Committee may give its opinion on very specific conflict of interest issues, depending on its responsibility.

Additional Jobs
Any extra labor relation must not affect the compliance with obligations contracted with DESC.
It is considered a conflict of interest when working in any DESC company and with any DESC supplier or customer simultaneously.
It is strictly forbidden to work, get involved in business or develop activities that implies becoming a competitor of DESC or any of its companies.
It refers to acts, facts, or events of any nature prone to influence over pricing of DESC or any of its companies’ values known as Relevant Events not revealed to investors.

Members of Board, Directors and Employees who have access to this type of information must abstain including but not limited to, according to the established in legal provisions and DESC internal policies, from:

  • Celebrate operations with Values, direct or indirectly, over any kind of DESC’ Values.
  • Disclose to any person, even relatives, privileged information in addition to information about suppliers and customers.
  • Recommend any person a stock-market operation derived from privileged information access.
These are illegal activities subject to civil and criminal penalties.
  • A conflict of interest exists if a relative or close friend works for or participates with a supplier, customer or competitor of any DESC’ companies.
  • Staff members must abstain from participating in any kind of decision related with the referred matter.
  • If any staff member is involved in the situation, she/he must communicate it to her/his immediate superior Director as soon as possible.
  • Staff members are not allowed to acquire (voluntarily) any kind of participation of any nature with such third party direct or indirectly, if the working relation with DESC exists.
  • It is forbidden to receive and give money, gifts, courtesies, cultural or sports events tickets, or any other benefits from suppliers, customers, or potential competitors.
  • Any exception within the legal framework must be directly approved by the immediate superior Director.
  • Excluded from the above are those promotional articles or other gifts under best commercial practices, with symbolic value and mainly without engagement of impartial business criteria or feelings and expectations of personal commitment.
