ASSETS
Assets are every tangible or intangible goods, property of Grupo DESC and its enterprises, such as cash, accounts receivable, inventories, buildings, machinery and equipment, shares and values, inventions, business plans, patents and brands, commercial names, identity and corporate image, information technology, as well as information developed and generated by the persons who are part of Grupo DESC community, as a result of their work activities, among others.
ASSETS DAMAGE
It refers to behaviors that directly or indirectly generate an adverse effect in the corporate.
ASSERTIVE
Defined as a mature communicational behavior in which the person does not insult neither is subject to other persons will, but expresses his / her convictions and defends his / her rights.
BEHAVIOR GUIDES
Documents that rule the behavior in Grupo DESC. Code of Conduct, policies and procedures, laws and regulations.
BOARD OF DIRECTORS
It is the shareholders representing group, the group in charge of defining the great business purposes, of authorizing and following the fulfillment.
BUSINESS ETHICS
Set of moral norms that govern conduct within society and companies.
CLOSE RELATIVE
Close relative is the spouse, the domestic partner, the common law partner, and the blood or civil relative, up to third level or for third level relationship.
COMMUNITY
It is the civil society, non-governmental organizations (NGOs), and settlements that surround the manufacturing operations.
CONDUCT
A guide to help DESC collaborators to understand the meaning of what is right in their actions, through values and principles that help achieve Group’s mission and vision.
CONFIDENTIAL INFORMATION
Confidential Information: The information considered confidential by the Society or the other liable parties, as well as the information expressly authorized that is part of documents, contracts or agreements celebrated by the Society or, when such information is considered confidential in terms of applicable legal regulations and that is related to registration processes or Values in the National Register of Values, public ids, acquisitions or disposal of shares of a Issuer.
CORRUPTION
Abuse of authority taking advantage of the position in the enterprise, for personal benefit.
CRISIS MANAGEMENT SYSTEM
A group designed for each Business Strategic Unit, location, as well as Service and Control Units for instrumenting the strategies and preventive plans, besides an answer before a crisis.
DINE
Means DINE S.A.B. de C.V. and each of its companies in the Real Estate sector.
DISCRIMINATION
It refers to treating differently or to segregating acts that threaten against equality. Generally, it is used for referring to the people rights and equality infringement due to social, racial, religious, political, sexual preferences, or gender reasons.
DISSENT
It refers to a fact where two or more persons disagree in opinion or creed topics.
ENDORSEMENT AND COMPLIANCE LETTER
Letter signed by DESC employee or supplier, where he / she recognizes the Code content and is ready for fulfilling it. Such letter must be in the staff or suppliers files.
ENVIRONMENTAL SUSTAINABILITY
Set of ideas and actions addressed to respect and guarantee the environmental quality avoiding its deterioration, which implies to keep a harmonic relationship between the productive operations with the society and the nature surrounding them, and in economic terms, internalizing the external costs of pollution and the costs for using natural resources. This condition must be kept throughout the years.
ESG COMPLIANCE LETTER
Letter of compliance and commitment ratified by the suppliers of goods and services by maintaining the best environmental, anti-corruption and labor practices.
FRAUD
It is considered a trick. The crime active individual receives an asset, through a fraud; that is, making believe the existence of something that does not exist.
GRUPO DESC PHILOSOPHY
It is integrated by its Mission, Vision and Values.
KUO
Means KUO, S. A. B. and each one of its enterprises that belong to chemical, automotive, and consumption business groups.
GUIDELINES
Parameters that rule the performance of the different Grupo DESC processes. These parameters can be: Fulfillment (Legal, Regulations, etc.) and Performance (Growth Rates, profitability rates, etc.).
HUMAN CAPITAL DAMAGE
It refers to behaviors that damage people, work environment, the principles, as well as the reputation of one person or an employee’s group.

INTELLECTUAL INTEGRITY
Working with Intellectual Integrity is:
a. Expressing our ideas and thoughts with the true.

INTERNAL CONTROLS
It considers the review programs for internal auditing as well as the self-diagnostic questionnaire that is annually generated for backing up information issued by the Stock Exchange.
KEY MANAGEMENT STAFF
It is defined as key management staff or relevant manager any person who has the authority and responsibility to plan and manage the informant enterprise activities.
MEANINGFUL INFLUENCE
Meaningful influence is the power to participate in the decision for operation and financing policies of the entity, in which there is an investment, without controlling it.
MOBBING
a. Set of behaviors, actions or conducts systematically practiced by one or more people during some time, with the purpose of damaging the physical and psychological integrity of one or more persons.
b. It is defined as an attitude and hostile behaviors that intentionally and repeatedly are addressed with the purpose of psychologically make unstable one person.
MONEY LAUNDERING
The process through the source of the funds generated by carrying out some illegal or criminal activities.
NGO
It is used for identifying organizations that are not part of governmental environments, neither are enterprises which fundamental purpose is profit. Generally, common citizens are part and are in charge of them, who share a common mission and vision, obtaining funding from the Government, another NGOs (such as foundations); or from individuals or particular enterprises. With the purpose of keeping management autonomy and impartiality, avoid the official financing and their work through volunteers.
NON-DISCLOSURE AGREEMENT
Non-Disclosure Agreement (NDA): is signed between at least two parties for sharing confidential information for certain purposes, with the objective of restricting the public use of such information.
PERSONAL DATA
a. Any information related to one identified or identifiable natural person.
b. Privacy statement:
i. hard copy, electronic or any other format document, generated by the responsible who is at the title holder disposal, previous the processing of his / her personal data, in accordance with Art 15 of the Federal Law on the Protection of Personal Data Possessed by Private Persons.
c. Sensitive data:
i. Those personal data that affect the most intimate sphere of its holder, or which improper use may result in discrimination or implies a risk for such holder. Particularly, those who can reveal issues such as racial or ethnical origin, present or future health status, genetic information, religious, philosophical or moral creeds, labor union affiliation, political opinions, sexual preference, etc. are sensitive.
PRIVILEGED INFORMATION
It is the awareness of actions, facts or events able to influence in the prices of the values issued by Grupo DESC and its enterprises while such information hasn’t been officially revealed to the investment public.
POLICIES
The set of operative guidelines that establish the reference framework for regulating Grupo DESC activities is understood as policy. The policies will be part of the highest normative instrument in Grupo DESC, and will be the base for issuing criteria and procedures. The Operational Control Management will be in charge of its review and issuing.
PROCEDURE
The successive, chronological, and detailed description of the operations related among them. It includes the positions or management units that participate specifying its responsibility, participation, indicators, and controls.
PROFITABILITY
It refers to the benefits that have been obtained or can be obtained from an investment.
RELATED PARTIES:
Every natural person or legal entity, different to DESC, that:
a. Through one or more intermediaries directly or indirectly control, or is controlled, or is under the common control of DESC, likewise, every entity that meaningfully influences or meaningfully is influenced, or is under DESC’s significant influence such as: controller entities, subsidiaries and affiliated, as well as natural persons, partners or shareholders, members of the Board of Directors, and key management staff, or DESC relevant managers.
b. Directly or indirectly participate in the management, control or capital of the other one, or when a person or group of people directly or indirectly participate in the management or capital of such people. Likewise, they are considered related parts of a permanent establishment, headquarters or another permanent establishments of it.
c. A joint venture where DESC participates in.
d. Close relative of some people who are supposed to be part of section a). The following ones are considered close relatives: spouse, domestic partner, blood relative or civil one up to second level or by relationship up to third level of some partner or stockholder, member of the Board of Directors, or some key staff member or DESC Manager.
RESPONSIBLE SENIOR MANAGER
The person who delegates the necessary authority to authorize different situations for group control.
a. In the case of employees or managers, he / she must report or request the Business Strategic Unit Management (BSUM) or the Control and Service Unit Management (CSUM) authorization.
b. BSUM or CSUM Managers shall inform or request the authorization from Grupo DESC Executive Management.
c. Grupo DESC Executive Management must inform or request the authorization from the Executive Board Chairman.
SEXUAL HARASSMENT
a. Sexual harassment includes from a nuisance to serious abuses, which can involve sexual activity. In general, it takes place at the workplace or in another environments where resistance or rejection can result in negative consequences.
b. It is defined as any inappropriate sexual interest or behavior at work, making an intimidating and hostile workplace. The sexual harassment is considered as any inappropriate sexual interest or behavior, having the effect of making the workplace am intimidating and a hostile one. The sexual harassment is considered as an illegal discrimination form and it is considered as a kind of sexual and psychological abuse.
c. The sexual harassment definition can include a wide variety, depending on each person opinion about what they understand by harassment, leading to confusions. The term was coined at Cornell University, in 1974. The harassment is considered the undesired touch between work mates, but besides it includes lascivious comments, discussions about sex superiority, sexual jokes, sexual favors to reach another work status, etc.
SOCIAL RESPONSIBILITY
Discipline through the one the enterprise verifies that its operations are sustainable, recognizing the interests of the different groups with the ones it is related to. It is a business perspective that integrates the respect for people, the ethical values, the community and the environment with the same management of the enterprise, regardless of the products it offers, of the sector to which it belongs to, of its size or nationality.

STRATEGIC PURPOSES
Strategic purposes are the goals as well as the strategies set out by an organizations in order to achieve certain goals, as well as the organization position in an specific market in the long term; those are the results the enterprise wants to reach in more than a year, carrying out actions that allow them to accomplish their mission, inspired in the vision.
SUPPLY CHAIN
All the goods and services suppliers and all the clients are linked by the finished products consumer demand, as well by the material and computing exchanges in the logistic process, from raw materials acquisition to the finished products delivery to the final user.
SUSTAINABLE DEVELOPMENT

ZERO TOLERANCE
