Participation or Financial Interest in Other Companies
We avoid any participation or direct financial interest within businesses related to customers, suppliers, or current competitors. An “active financial interest” is considered when an owner, share-holder, direct partner, or employee’s relatives connected with customers, suppliers or competitors in any of those DESC’ businesses. In case of the existence of direct financial interest prior to the relation of such third party with DESC, it must be disclosed to the immediate superior Director, in charge and must abstain from participating in any third-party decision making. Any exception to the aforementioned must comply with specific notification and approval from the immediate superior Director.
In the case of Directors who find themselves in this situation, they will proceed to comment with the Audit and Corporate Practices Committee.
2.1.5
External Board of Directors
The express approval of the General Director is required in order to participate in any Board of Directors or similar administrative group in any company or for-profit society that is not part of the DESC. In the case of non-profit civil associations and organizations, they must notify to the inmediate superior Director.

Committed to transparency, DESC and all of its companies require all new suppliers to comply with the ESG Compliance Letter (Environmental, Social & Governance) Charter, which is published on our corporate websites (DESC, KUO and DINE).
This document ratifies that our suppliers of goods and services maintain the best environmental, anti-corruption and labor practices, which must be signed by a legal representative of the company in question, in addition to the signature of ratification of the Letter of Adhesion to our Code of Conduct.
